MEDVA Referral Program Terms and Conditions
Modules
Effective date: September 14, 2026
These Terms and Conditions govern participation in the MEDVA Referral Program. By submitting a referral, a participant agrees to these Terms and Conditions. The Program rewards eligible participants for introducing new healthcare or dental practice opportunities to MEDVA, LLC, a Nevada limited liability company (“MEDVA”), subject to MEDVA’s verification and the conditions below.
1. Program Sponsor
The MEDVA Referral Program is sponsored and administered by MEDVA (“MEDVA,” “we,” “us,” or “our”). Questions may be directed to info@medva.com or 877-696-3382.
2. Program Period
The Program begins on the Effective Date and continues until MEDVA suspends or ends it. MEDVA may establish promotional periods or additional requirements and will communicate them through the Program webpage or other written notice.
3. Who May Participate
The Program is open to individuals and organizations that are legally permitted to make referrals and receive a reward. A participant must be at least 18 years old and must provide accurate contact, payment, and tax information when requested.
Unless MEDVA approves otherwise in writing, the following are not eligible to receive rewards:
- MEDVA contractors, sales agents, or members of their immediate households;
- A referred prospect, its employees, owners, or agents for referring that same prospect;
- Government employees or officials, or any person prohibited by an employer policy, professional rule, contract, or law from accepting the reward; and
- Referral partners, brokers, consultants, or other parties whose separate agreement with MEDVA already provides compensation for the same opportunity.
4. How to Submit a Referral
A participant must submit the referral through medva.com/referral-program or another method authorized by MEDVA. The submission must identify the participant and the referred practice and include sufficient, accurate contact information for MEDVA to evaluate and contact the prospect. The participant should have a good-faith basis to believe the prospect is interested in learning about MEDVA and must not submit personal information without appropriate permission.
A referral is recorded when MEDVA receives a complete submission. MEDVA may request additional information and may decline incomplete, inaccurate, duplicate, unauthorized, or inappropriate submissions.
5. Qualified Referrals
A “Qualified Referral” is a referred healthcare or dental practice or organization that MEDVA determines, in its reasonable discretion, satisfies all of the following:
- It is a new opportunity for MEDVA;
- It is not a current or former MEDVA client or prospect;
- It is not already in active discussions with MEDVA and is not already recorded in MEDVA’s systems as an active opportunity;
- It was submitted in accordance with these Terms and Conditions; and
- It has a legitimate potential need for MEDVA’s full-time virtual assistant services and agrees to engage with MEDVA.
MEDVA’s records will control in determining whether a referral is new, eligible, duplicate, or already under discussion. If more than one participant refers the same prospect, only the first complete, eligible submission received by MEDVA will qualify unless MEDVA decides otherwise in writing.
6. Rewards and Earning Conditions
$250 Reward: A Qualified Referral completes a substantive call with MEDVA’s sales team. The reward is earned after MEDVA verifies that the scheduled sales conversation occurred and met Sales and Program requirements.
$1,000 Reward: A Qualified Referral becomes a MEDVA client. The reward is earned after the referred client signs a written agreement with MEDVA within six months after referral submission and completes 60 consecutive days of active, paid service.
$1,000 Bonus: Every fifth Qualified Referral from the same participant that becomes a MEDVA client. The bonus is earned after the fifth qualifying referred client meets the written-agreement and 60-day active-service requirements. The count then restarts for the next group of five.
Unless MEDVA states otherwise in writing, rewards are cumulative: a Qualified Referral may generate the $250 sales-call reward and, if all additional conditions are met, the $1,000 new-client reward. A fifth qualifying new client may also generate the $1,000 bonus.
7. Written Agreement and Six Month Window
To qualify for the new-client reward or fifth-referral bonus, the referred prospect must enter into a written agreement with MEDVA no later than six months after MEDVA receives the referral. An agreement signed after that period does not qualify unless MEDVA approves an exception in writing.
8. Active Service Requirement
A referred client completes 60 days of active service when it has received MEDVA services for 60 consecutive calendar days, remains in good standing, and has paid all amounts then due. Trial periods, paused service, unpaid service, canceled engagements, and refunded or disputed charges do not count unless MEDVA determines otherwise.
MEDVA provides healthcare professionals and organizations with access to overseas professionals (each, a “Virtual Assistant,” and collectively, the “Virtual Assistants”), which Virtual Assistants can be used by Clients to perform business-related tasks including, but not limited to, transcription, appointment scheduling and confirmation, insurance benefits verification and prior authorization, patient chartings, and other administrative duties (the “Virtual Assistant Services”). The Virtual Assistants are engaged by MEDVA as independent contractors of MEDVA and are not employees or agents of MEDVA.
9. Payment Method and Timing
An earned reward may be paid in cash or, if the participant is an eligible MEDVA client, as a credit toward a future MEDVA invoice. MEDVA will determine available payment methods and may ask the participant to select among them. Invoice credits have no cash value after application and may not be transferred. MEDVA expects to issue an approved reward within 30 days after verifying that it was earned, subject to receipt of any required payment and tax documentation.
10. Taxes and Reporting
Participants are responsible for all federal, state, local, and other taxes associated with rewards. MEDVA may require a completed IRS Form W-9 or other documentation and may withhold payment until it is received. MEDVA may report rewards to tax authorities as required by law.
11. Healthcare Compliance and Ethical Conduct
The Program is intended to reward business introductions to MEDVA and not referrals of patients, items, or services payable by a federal or state healthcare program. Participants must not make a referral or accept a reward if doing so would violate the federal Anti-Kickback Statute, Stark Law, state fee-splitting or referral laws, professional ethics rules, employer policies, procurement rules, or any other applicable requirement. No participant may offer or share a Program reward to influence a patient’s selection of a provider or a provider’s ordering or referral of healthcare services. MEDVA may require a compliance certification and may withhold or cancel any reward that presents a compliance concern.
12. Prohibited Conduct
Participants may not:
- Submit referrals without authorization, submit fabricated or misleading information, impersonate another person, or create duplicate or self-referrals;
- Use spam, unlawful marketing, deceptive statements, or claims that MEDVA has not approved;
- Represent that the participant is MEDVA’s employee, agent, or authorized representative;
- Use MEDVA’s name, trademarks, or materials except as MEDVA expressly permits; or
- Interfere with the Program, manipulate reward eligibility, or engage in fraud or abuse.
13. Verification and Decisions
MEDVA may verify referrals, sales calls, client status, agreements, service dates, payment status, and participant eligibility. MEDVA’s good-faith determinations regarding Program eligibility, attribution, qualification, and rewards are final. MEDVA may deny, reverse, or recover a reward obtained through error, fraud, ineligibility, cancellation, refund, chargeback, or violation of these Terms and Conditions.
14. Privacy and Communications
MEDVA will use information submitted through the Program to administer referrals, contact prospects, prevent fraud, issue rewards, and comply with law, consistent with MEDVA’s applicable privacy notice. By participating, a participant agrees to receive communications reasonably related to the referral and reward. Participants are responsible for obtaining any consent required to provide a prospect’s information.
15. No Employment or Agency Relationship
Participation does not create an employment, agency, partnership, joint venture, franchise, brokerage, or fiduciary relationship with MEDVA. Participants have no authority to bind MEDVA, negotiate on its behalf, quote prices, or make representations or warranties about MEDVA’s services.
16. Changes Suspension and Termination
MEDVA may modify, suspend, or terminate the Program or these Terms and Conditions at any time, including changing reward amounts or eligibility requirements. Changes will apply prospectively from the date posted or otherwise communicated, unless a change is required to address fraud, abuse, legal compliance, or an administrative error. Eligible rewards fully earned before a prospective change will remain payable, subject to verification and these Terms and Conditions.
17. Disclaimer and Limitation of Liability
The Program is offered “as is” and subject to availability. To the fullest extent permitted by law, MEDVA disclaims implied warranties relating to the Program. MEDVA is not responsible for lost, late, incomplete, misdirected, or technically corrupted submissions or for indirect, incidental, special, consequential, or punitive damages arising from participation. MEDVA’s aggregate liability relating to a referral will not exceed the reward amount that MEDVA determines was properly earned for that referral. Nothing in these Terms and Conditions excludes liability that cannot lawfully be excluded.
18. Governing Law; Venue
Without reference to its conflict or choice of law rules or principles, the laws of California govern all matters with respect to these Terms and Conditions. Subject to Section 19 (Arbitration), the Parties hereby submit to the exclusive jurisdiction of state and federal courts located in Los Angeles, California for any legal action arising out of these Terms and Conditions.
19. Arbitration
Any dispute, controversy, or claim arising out of or related to this Agreement or any breach or termination of these Terms and Conditions, whether sounding in contract, tort, or statute, shall be submitted to and decided by binding arbitration. Arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and held in Los Angeles, California before a single arbitrator. Any arbitral award determination shall be final and binding upon the Parties. Arbitration shall proceed only on an individual basis. Notwithstanding anything to the contrary in this Section, either Party may bring an action in any court of competent jurisdiction to compel arbitration under this Section 19 or to enforce an arbitration award.
20. General Terms
If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. MEDVA’s failure to enforce a provision is not a waiver. A participant may not assign rights under the Program. These Terms and Conditions, together with any specific written promotion terms and MEDVA’s applicable privacy notice, constitute the agreement governing the Program. If specific written promotion terms conflict with these Terms and Conditions, the specific promotion terms control for that promotion.
